1. Acceptance of Terms
By accessing or using the services provided by Paywalex.com ("the Platform"), a product owned and operated by Paywalex Software and Financial Technologies Private Limited. You ("the User," "the Merchant," or "you") agree to be bound by these Terms and Conditions ("Terms"). These Terms govern your access to and use of all content, products, and services available on or through the Paywalex.com website. If you disagree with any part of the Terms, you may not access the Platform.
2. Services Provided (Multi-Tenancy SaaS)
Paywalex operates as a multi-tenancy Software as a Service (SaaS) platform, providing tools, APIs, and services that allow Merchants to create website, sell products, create subscription services, manage paywalls, process payments.
• Merchant Responsibility: The Merchant is solely responsible for all content, services, and transactions conducted within their dedicated instance (tenant) on the Paywalex Platform.
• End-Customer Relationship: The Merchant’s relationship with their end-customers is entirely separate from their relationship with Paywalex. Paywalex is not a party to any contract or dispute between the Merchant and the end-customer.
3. User Accounts and Eligibility
• Account Creation: To access certain features of the Platform, you may be required to register for an account. You must provide accurate, complete, and current registration information.
• Account Security: You are responsible for maintaining the confidentiality of your account password and are solely responsible for all activities that occur under your account. You agree to notify Paywalex immediately of any unauthorized use of your account.
• Eligibility: By using the Platform, you represent and warrant that you are at least eighteen (18) years of age and are capable of entering into a legally binding agreement.
4. Merchant Content and Conduct
• License to Content: By submitting content (including but not limited to text, images, logos, and data) to Paywalex.com, you grant Paywalex a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute that content solely for the purpose of operating and providing the Platform's services.
• Prohibited Content and Use: You agree not to use the Platform to post, transmit, or otherwise distribute any content that:
o Is unlawful, fraudulent, defamatory, obscene, or racially, ethnically, or otherwise objectionable.
o Infringes upon any third party's intellectual property, privacy, or proprietary rights.
o Violates any applicable Indian law, including but not limited to the Information Technology Act, 2000 (IT Act) and the Indian Penal Code (IPC).
• Compliance: Merchants must ensure their use of the platform and their offerings comply with all applicable local, state, national, and international laws, including but not limited to consumer protection laws, payment regulations, and data privacy regulations.
5. Fees and Payment
• Pricing: Access to the Platform's services may require payment of subscription fees, transaction fees, or other charges. All fees are as described on the Paywalex.com website or in a separate written agreement.
• Billing and Renewal: Fees are billed monthly/annually and are non-refundable, except as explicitly stated in a separate refund policy. Subscriptions may auto-renew unless canceled.
• Taxes: All stated fees are exclusive of applicable taxes. The Merchant is responsible for all applicable taxes, duties, and levies imposed by any governmental authority.
6. Intellectual Property Rights
• Platform IP: All content, features, and functionality on Paywalex.com, including software, text, graphics, logos, patents, trademarks, service marks, and copyrights, are the exclusive property of Paywalex and its licensors.
• Restriction: You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software.
7. Advertising Rights and Data Usage
• Platform Advertisements: Paywalex reserves the right to display advertisements, including sponsored content or links, on the Platform, including within a Merchant's tenant, unless otherwise prohibited by a separate, paid agreement.
• Data Aggregation: Paywalex reserves the right to collect, analyze, and use aggregate and anonymized data derived from the use of the Platform for service improvement, statistical analysis, and marketing purposes. This use is subject to the Paywalex Privacy Policy and DPDP Act, 2023 compliance.
8. Termination
Paywalex may terminate or suspend your account and access to all or any part of the Platform at any time, with or without cause, with or without notice, effective immediately, for any reason, including, without limitation, your breach of these Terms or violation of any Indian law.
9. Disclaimer of Warranties
The Platform is provided "AS IS" and "AS AVAILABLE." Paywalex hereby disclaims all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. Paywalex does not warrant that the services will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
In no event will Paywalex, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability, or other legal or equitable theory for: (i) any special, incidental, or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or loss or corruption of data.
11. Indemnification
You agree to indemnify and hold harmless Paywalex, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Platform, including but not limited to your violation of these Terms or any violation of Indian law (IT Act, IPC).
12. Governing Law and Dispute Resolution
• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.
• Jurisdiction: The competent courts in Noida (state of U.P)shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms.
13. Changes to Terms
Paywalex reserves the right, at its sole discretion, to modify or replace any part of these Terms. Your continued use of or access to the Platform following the posting of any changes constitutes acceptance of those changes.
